These Terms of Service ("Terms") govern your access to and use of Octalius, an AI-powered workspace and related services provided by Omalius BV, a company incorporated under Belgian law, with registered office in Hasselt, Belgium ("Octalius", "we", "us", or "our").

By accessing or using Octalius, creating an account, subscribing to a paid plan, inviting workspace members, or otherwise using the Service, you agree to these Terms.

If you do not agree to these Terms, you must not use Octalius.

If you use Octalius on behalf of a company, organization, association, or other legal entity, you confirm that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you and the entity you represent.

1. The Service

Octalius provides access to AI-powered workspace tools, including but not limited to web search, news research, patents search, scholar literature search, general AI assistants, custom AI assistants, company knowledge base workflows, document processing, source previews, and related software services.

The exact features available to you may depend on your plan, subscription, account type, workspace role, usage limits, technical availability, and any additional conditions displayed at the time of purchase or use.

Octalius may be used by individuals, professionals, freelancers, companies, and organizations, subject to these Terms and applicable law.

We may improve, modify, replace, suspend, or discontinue parts of the Service from time to time. Where required by law, we will take reasonable steps to inform affected users of material changes.

2. Eligibility and Legal Capacity

There is no fixed minimum age requirement in these Terms.

However, by using Octalius, you confirm that you have the legal capacity required under applicable law to accept these Terms and use the Service.

If you do not have such legal capacity, a parent, legal guardian, or authorized representative must review and accept these Terms where legally required.

You are responsible for ensuring that your use of Octalius is lawful in your country, region, professional context, and organization.

3. Accounts and Workspaces

To access certain features, you may need to create an account.

You are responsible for:

  • Providing accurate, complete, and up-to-date account information
  • Maintaining the confidentiality of your login credentials
  • All activity that occurs under your account
  • Notifying us promptly if you suspect unauthorized access to your account

Company workspaces may include administrators, members, invitations, roles, seats, billing profiles, and other company settings. Workspace administrators are responsible for managing access and ensuring that invited users are authorized to access the workspace.

You must not share your account with unauthorized persons or allow others to use your account in a way that violates these Terms.

We may suspend, restrict, or terminate accounts where we reasonably believe that:

  • These Terms have been violated
  • The Service is being misused or abused
  • Payment obligations are not met
  • Your use creates legal, technical, security, or reputational risk
  • Suspension is necessary to protect Octalius, other users, or third parties
  • We are required to do so by law

4. Acceptable Use

You agree not to use Octalius to:

  • Violate applicable laws or regulations
  • Infringe intellectual property, privacy, data protection, confidentiality, or other rights
  • Generate, upload, request, or distribute unlawful, harmful, abusive, deceptive, defamatory, discriminatory, or misleading content
  • Create or distribute malware, phishing content, spam, scams, or other harmful material
  • Harass, threaten, impersonate, exploit, or harm others
  • Generate content intended to deceive people about identity, origin, authorship, or authenticity
  • Reverse engineer, scrape, copy, resell, sublicense, or commercially exploit the Service without authorization
  • Bypass usage limits, safeguards, access controls, rate limits, or security measures
  • Interfere with the integrity, security, availability, or performance of the Service
  • Use the Service to build or improve a competing product without our prior written consent
  • Use Octalius in a way that could damage Octalius, other users, or third parties

We may investigate suspected misuse and take appropriate action, including limiting access, removing content, suspending accounts, terminating accounts, or reporting unlawful activity where required or permitted by law.

5. AI Disclaimer

Octalius uses artificial intelligence systems. AI-generated outputs may be inaccurate, incomplete, outdated, biased, offensive, or misleading.

You acknowledge and agree that:

  • Outputs should not be treated as professional, legal, medical, financial, tax, accounting, psychological, or other regulated advice
  • You are responsible for reviewing, verifying, and validating outputs before relying on them
  • You remain responsible for decisions, actions, content, publications, communications, or business processes based on AI outputs
  • You must not rely on Octalius as the sole basis for important decisions
  • You must not use Octalius as a substitute for qualified professional advice where such advice is required
  • If you publish, share, or distribute AI-assisted output, you are responsible for any disclosures required by applicable law, platform rules, professional duties, or internal policies

Octalius may provide tools such as chat, search, custom assistants, document analysis, knowledge base answers, and productivity assistance. These tools are provided for assistance and productivity purposes only.

6. No Professional Advice

Octalius does not provide legal, medical, financial, tax, accounting, investment, psychological, engineering, security, or other regulated professional advice.

Any information generated through Octalius is provided for general informational and productivity purposes only.

You should consult a qualified professional before making decisions that may affect your rights, finances, health, legal obligations, business, security, or compliance position.

7. High-Risk Use

You must not use Octalius as the sole or primary basis for high-risk decisions or activities, including but not limited to:

  • Medical diagnosis or treatment
  • Legal decisions
  • Financial, credit, insurance, or lending decisions
  • Employment, hiring, promotion, or dismissal decisions
  • Housing, education, or eligibility decisions
  • Safety-critical systems
  • Emergency response
  • Law enforcement or surveillance decisions
  • Decisions that may significantly affect a person's rights, safety, or access to essential services

You are responsible for ensuring that any use of Octalius in professional, regulated, or high-impact contexts complies with applicable law and includes appropriate human review.

8. Subscriptions, Seats, Billing, and Payments

Some features of Octalius may be free. Other features may require a paid subscription, seat-based billing, usage-based fees, or another paid plan.

8.1 Prices and Taxes

Prices are displayed before purchase.

Unless stated otherwise, prices may be displayed exclusive of applicable taxes, including VAT.

For consumers, where legally required, the total price including applicable taxes will be displayed before purchase.

We may change prices from time to time. Price changes apply prospectively and will not affect the current paid billing period unless otherwise stated or required by law.

8.2 Payment Methods

Payments are processed through our payment provider, such as Stripe or another provider displayed at checkout.

By subscribing or purchasing paid services, you authorize Octalius and its payment provider to charge your selected payment method for the applicable fees, taxes, renewals, and other charges disclosed at purchase.

You are responsible for ensuring that your payment and billing information is accurate and up to date.

8.3 Subscriptions and Renewal

Subscriptions are billed in advance on a recurring basis, such as monthly, yearly, or as otherwise specified at purchase.

Unless you cancel before the renewal date, your subscription will automatically renew at the end of each billing period and your payment method may be charged again.

8.4 Seats and Workspace Members

Paid workspaces may be billed based on seats, active members, invited users, or another metric displayed in the product or checkout.

Workspace administrators are responsible for managing users, invitations, and roles. Changes to workspace membership may affect billing according to the applicable plan and billing rules.

8.5 Official Invoices and Peppol

Stripe receipts or payment records may not be the official invoice for accounting purposes.

Official invoices, including invoices sent through the Peppol network where applicable, may be issued through a separate accounting or invoicing system.

8.6 Failed Payments

If a payment fails, we may:

  • Attempt to charge your payment method again
  • Ask you to update your payment information
  • Suspend or limit access to paid features
  • Terminate the paid subscription if payment is not completed within a reasonable period

You remain responsible for any unpaid amounts, unless the charge was made in error or is otherwise not legally payable.

8.7 Usage Limits

Octalius may apply usage limits, rate limits, fair use restrictions, processing limits, storage limits, or feature limits based on your plan, workspace, or technical constraints.

We may adjust usage records or limits in case of technical errors, abuse, fraud, or incorrect allocation.

9. Cancellation, Refunds, and Withdrawal Rights

You may cancel your Octalius subscription at any time from your account or company settings, if available, or by contacting us at contact@octalius.com.

When you cancel a subscription, your access to paid features will usually continue until the end of the current billing period. After that period, your subscription will not renew and you will not be charged again.

Unless required by applicable law, cancellation does not automatically entitle you to a refund for the current billing period.

9.1 Refunds

Refund requests are reviewed on a case-by-case basis.

We may issue a refund if:

  • You were charged by mistake
  • You were charged after cancelling correctly
  • A technical issue prevented you from using the paid service
  • A refund is required under applicable Belgian or European consumer law

We generally do not provide refunds for:

  • Partial use of a billing period
  • Unused time after cancellation
  • Failure to cancel before the renewal date
  • Dissatisfaction with features that were clearly described before purchase
  • Account suspension or termination caused by a violation of these Terms

9.2 Consumer Right of Withdrawal

If you are a consumer located in Belgium or elsewhere in the European Union, you may have a statutory right to withdraw from certain distance contracts within 14 calendar days without giving a reason, unless a legal exception applies.

For digital services or digital content supplied immediately, your right of withdrawal may be limited or lost where permitted by law, including where:

  • You expressly request immediate access to the digital service or digital content
  • You acknowledge that this may affect your withdrawal right
  • The service or digital content has already begun or been supplied

If you validly exercise a statutory right of withdrawal, we will refund the eligible payment within the legally required period using the original payment method, unless another method is agreed.

Nothing in these Terms limits mandatory consumer rights you may have under Belgian or European law.

  • The email address linked to your Octalius account
  • The date and amount of the charge
  • The reason for your request, where applicable

10. Service Performance and Availability

We aim to provide a reliable service, but we do not guarantee that Octalius will be uninterrupted, secure, error-free, or available at all times.

The Service may be affected by:

  • Maintenance
  • Technical issues
  • Third-party provider outages
  • Internet, hosting, or infrastructure failures
  • Security incidents
  • Changes to AI providers, models, or APIs
  • Legal or regulatory requirements
  • Events outside our reasonable control

We may modify, suspend, limit, or discontinue any part of the Service at any time, provided that we respect any mandatory rights you may have under applicable law.

11. Beta and Experimental Features

Some features may be labeled as beta, experimental, preview, early access, or similar.

These features:

  • May be unstable, incomplete, or changed without notice
  • May produce inaccurate or unexpected results
  • May be limited, suspended, or discontinued at any time
  • Are provided without any specific guarantee

You should not rely on beta or experimental features for critical use cases.

12. User Content and Ownership

You retain ownership of the content you submit to Octalius, including prompts, uploads, files, messages, instructions, assistant configurations, knowledge base content, and other inputs.

Subject to applicable law and third-party rights, you may use the outputs generated by Octalius for your own personal or business purposes.

You are responsible for ensuring that your inputs and use of outputs do not violate:

  • Applicable law
  • Third-party rights
  • Intellectual property rights
  • Privacy or data protection rights
  • Confidentiality obligations
  • Professional duties
  • These Terms

You grant Octalius a limited, non-exclusive, worldwide license to host, process, transmit, display, and use your content solely as necessary to:

  • Provide and operate the Service
  • Maintain and secure the Service
  • Troubleshoot issues
  • Prevent abuse
  • Improve reliability and performance
  • Comply with legal obligations
  • Enforce these Terms

We do not use your content to train AI models unless we clearly state otherwise and obtain any consent required by applicable law.

13. AI Outputs and Responsibility

AI outputs may not be unique. Other users may receive similar or identical outputs.

You are responsible for determining whether an output is suitable for your intended use.

You are also responsible for checking whether your use of an output may require:

  • Human review
  • Fact-checking
  • Legal review
  • Copyright clearance
  • Attribution
  • Consent from third parties
  • Disclosure that AI was used
  • Compliance with professional, sector-specific, or internal rules

We do not guarantee that outputs are accurate, lawful, non-infringing, appropriate, secure, or suitable for any particular purpose.

14. Intellectual Property

Octalius, its software, interface, design, branding, logos, documentation, systems, workflows, databases, and underlying technology are owned by Omalius BV or its licensors and are protected by intellectual property laws.

These Terms do not transfer any ownership rights in Octalius to you.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, or create derivative works from Octalius or any part of the Service unless expressly permitted by law or by written authorization from us.

You may not use our name, logo, branding, or trademarks without our prior written consent.

15. Third-Party Services

Octalius may rely on or integrate with third-party services, including but not limited to:

  • Hosting providers
  • AI infrastructure providers
  • Search providers
  • Payment processors
  • Accounting and invoicing providers
  • Email providers
  • Analytics providers
  • Monitoring providers
  • Security providers
  • Authentication providers
  • Infrastructure management tools

Your use of third-party services may be subject to additional terms, privacy policies, technical limitations, and availability constraints imposed by those third parties.

We are not responsible for third-party services, except where required by applicable law.

16. European Hosting and AI Model Processing

Octalius is designed to prioritize European hosting, European infrastructure, and GDPR-aligned processing.

Our core application infrastructure and primary databases are intended to be hosted in Europe where technically and commercially reasonable.

Octalius AI model inference may be provided through European cloud infrastructure or other carefully selected providers.

We aim to process AI requests within Europe where technically and commercially reasonable, and we select providers with attention to data protection, security, reliability, and GDPR alignment.

Octalius does not use your prompts, uploaded content, files, messages, or AI outputs to train AI models unless we clearly state otherwise and obtain any consent required by applicable law.

However, Octalius may also rely on other third-party providers for services such as payment processing, email delivery, analytics, monitoring, security, customer support, hosting management, accounting, invoicing, or infrastructure operations.

Some of these providers may process limited personal data outside the European Union or European Economic Area where necessary to provide, secure, monitor, or improve the Service.

Where personal data is transferred outside the European Union or European Economic Area, we rely on appropriate safeguards required by applicable data protection law, such as adequacy decisions, Standard Contractual Clauses, contractual protections, or other lawful transfer mechanisms.

17. Confidentiality

If you use Octalius in a business or professional context, you are responsible for ensuring that you do not submit confidential, sensitive, regulated, or third-party information unless you have the right to do so.

You should not submit information that is subject to special legal, contractual, or professional confidentiality obligations unless you have verified that your use of Octalius is appropriate for that information.

Octalius will take reasonable technical and organizational measures to protect information submitted through the Service, but you acknowledge that no online service can be guaranteed to be completely secure.

18. Personal Data and GDPR

We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the General Data Protection Regulation, known as the GDPR.

Depending on how you use Octalius, we may act as a data controller, data processor, or both.

Where Octalius processes personal data on your behalf as a processor, we will:

  • Process personal data only to provide the Service and in accordance with applicable instructions
  • Implement appropriate technical and organizational security measures
  • Assist with applicable data protection obligations where legally required
  • Use subprocessors only where appropriate safeguards are in place
  • Not use your personal data for AI training unless clearly stated and legally permitted
  • Make a Data Processing Agreement available where required

You are responsible for ensuring that any personal data you submit to Octalius has been collected and shared lawfully.

You must not submit special categories of personal data, sensitive personal data, health data, biometric data, children's data, criminal offence data, or other highly sensitive data unless you have a valid legal basis and Octalius has confirmed that the Service is appropriate for that use.

19. Security

We implement reasonable technical and organizational security measures designed to protect the Service and user data.

However, you acknowledge that no system, network, online service, or method of transmission is completely secure.

You are responsible for:

  • Protecting your account credentials
  • Using strong passwords
  • Keeping your devices and software secure
  • Restricting access to your account
  • Promptly notifying us of suspected unauthorized access

We may take security-related actions where necessary, including suspending access, resetting credentials, limiting functionality, or investigating suspicious activity.

We will make reasonable efforts to respond within a reasonable period.

If you contact us about a complaint, please include enough information for us to understand and investigate the issue, such as:

  • Your account email
  • Relevant dates
  • Transaction details
  • Screenshots
  • A clear description of the problem

21. Abuse Reporting

If you believe that content, behavior, or an account violates these Terms or applicable law, you may report it to contact@octalius.com.

We may investigate and take appropriate action, including removing content, restricting features, suspending accounts, terminating accounts, or contacting competent authorities where required or permitted by law.

22. Suspension and Termination

We may suspend or terminate your access to Octalius if:

  • You violate these Terms
  • You misuse or abuse the Service
  • You fail to pay applicable fees
  • Your use creates legal, security, technical, or reputational risk
  • We are required to do so by law
  • Continuing to provide the Service becomes impractical or commercially unreasonable

Where reasonable and legally possible, we may give you notice or an opportunity to resolve the issue before suspension or termination.

You may stop using Octalius at any time.

Termination does not affect rights or obligations that arose before termination, including payment obligations, liability, intellectual property rights, confidentiality obligations, and any clauses intended to survive termination.

23. Limitation of Liability

To the maximum extent permitted by applicable law, Octalius is provided on an "as is" and "as available" basis.

We do not guarantee that:

  • The Service will meet your specific needs
  • The Service will be uninterrupted, secure, or error-free
  • AI outputs will be accurate, complete, lawful, or suitable
  • Any defects will be corrected
  • The Service will be available permanently

To the maximum extent permitted by applicable law, we are not liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, business, goodwill, data, or opportunities
  • Decisions or actions taken based on AI-generated outputs
  • Inaccurate, incomplete, outdated, or misleading AI outputs
  • Third-party services, outages, or integrations
  • Unauthorized access caused by your failure to protect your credentials
  • Events outside our reasonable control

To the maximum extent permitted by law, our total liability for any claim related to the Service is limited to the amount you paid to Octalius in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for fraud, intentional misconduct, death or personal injury caused by negligence, or mandatory consumer rights.

24. Indemnity for Business Users

If you use Octalius for business, professional, or organizational purposes, you agree to indemnify and hold harmless Omalius BV from claims, damages, losses, liabilities, costs, and expenses arising from:

  • Your misuse of Octalius
  • Your violation of these Terms
  • Your violation of applicable law
  • Your infringement of third-party rights
  • Content you submit, generate, publish, or distribute using Octalius
  • Your use of Octalius in a regulated, professional, or high-risk context

This clause applies only to the extent permitted by applicable law.

25. Consumer Rights

If you are a consumer, you benefit from any mandatory consumer protection rights granted by Belgian law, European Union law, or the law of your country of residence where applicable.

Nothing in these Terms limits or excludes mandatory consumer rights that cannot legally be waived or limited.

In case of conflict between these Terms and mandatory consumer protection law, the mandatory consumer protection law will prevail.

26. Force Majeure

We are not liable for delay or failure to perform caused by events outside our reasonable control, including but not limited to:

  • Natural disasters
  • War, terrorism, civil unrest, or government action
  • Strikes or labor disputes
  • Internet or telecommunications failures
  • Hosting, cloud, or infrastructure outages
  • Power failures
  • Cyberattacks
  • Epidemics or pandemics
  • Legal or regulatory restrictions
  • Failures of third-party providers

We will take reasonable steps to reduce the impact of such events where possible.

27. Changes to These Terms

We may update these Terms from time to time.

If changes are material, we will provide reasonable notice, such as by email, in-app notice, or publication on our website.

The updated Terms will apply from the effective date stated in the updated version.

If you continue to use Octalius after the updated Terms become effective, you agree to the updated Terms.

If you do not agree to the updated Terms, you must stop using the Service and, where applicable, cancel your subscription.

We will not make unfair unilateral changes without a valid reason where this would violate applicable consumer protection law.

28. Assignment

You may not transfer or assign your rights or obligations under these Terms without our prior written consent.

We may transfer or assign our rights and obligations under these Terms in connection with a merger, acquisition, restructuring, sale of assets, transfer of business, or legal reorganization, provided this does not reduce your mandatory rights under applicable law.

29. Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect.

The invalid provision will be interpreted or replaced to the extent necessary to achieve its intended purpose in a lawful and enforceable way.

30. No Waiver

If we do not enforce a provision of these Terms immediately, this does not mean that we waive our right to enforce it later.

Any waiver must be explicit and in writing to be effective.

31. Entire Agreement

These Terms, together with any documents expressly referenced in them, including the Privacy Policy, Billing Policy, and any applicable payment or subscription terms, form the entire agreement between you and Octalius regarding your use of the Service.

They replace any prior agreements or understandings relating to the same subject matter.

32. Governing Law and Jurisdiction

These Terms are governed by the laws of Belgium.

Subject to mandatory consumer protection rules, any dispute relating to these Terms or Octalius shall be submitted to the competent courts of Hasselt, Belgium.

If you are a consumer, you may also benefit from mandatory jurisdiction and consumer protection rights under the laws of your country of residence.
